OUR ROLE
Technical, Not Advisory
UBC may identify potential opportunities using buyer-specified screening parameters and facilitate administrative coordination related to a prospective whole-asset transfer. UBC does not provide investment advice, exercise investment discretion, recommend any purchase, or provide an opinion regarding the suitability, value, creditworthiness, collectability, or expected performance of an asset.
Non-Advisory Services
UBC operates as a technical services provider, delivering sourcing intelligence and administrative coordination for buyers acquiring assets in their own name or through designated entities. UBC does not evaluate, recommend, or opine on the economic merits, suitability, or expected performance of any asset.
Whole-Asset Transfer
Each transaction involves the purchase of a specifically identified commercial receivable or payment intangible in its entirety, with ownership transferring directly between buyer and seller.

Connecting Qualified Buyers with Opportunities
UBC connects qualified commercial buyers with opportunities from an established funding platform. Our services include:
Parameter-Based Opportunity Identification
At the buyer’s direction, UBC may identify prospective opportunities using buyer-specified parameters, which may include industry, duration, factor structure, stated collateral profile, and renewal status.
Funder Relationship
Through its relationship with an established funding platform, UBC may identify privately negotiated whole-asset opportunities for review by qualified buyers.
ADMINISTRATIVE COORDINATION
Limited, Non-Discretionary Support
After an opportunity is identified, UBC may provide clerical and administrative coordination related to documentation, counterparty communications, and standardized information delivery.
Confidentiality Coordination
UBC may coordinate communications in a manner intended to protect counterparty confidentiality, subject to applicable law, transaction documents, and counterparty requirements.
Historical Data Administration
At a buyer’s request, UBC may provide standardized historical information received from counterparties without an opinion as to asset value, collectability, or expected performance.
UBC does not service assets, manage collections, exercise discretion over buyer funds, or control buyer-owned assets.

MINIMUM AGGREGATE TRANCHE
$1,000,000
Institutional and commercial entities only
Services are generally available only to institutional participants and commercial entities pursuing aggregate whole-asset purchases of at least $1,000,000, subject to UBC acceptance and applicable requirements.
Each buyer represents that it has the experience, resources, and independent capability to evaluate prospective commercial-asset purchases. Each buyer makes its own acquisition decisions and conducts its own due diligence without reliance on UBC.
FEES
Service-Based Fees
UBC’s compensation for these services is fixed-fee and is not based on an asset’s performance, yield, resale value, or ongoing cash flows. Applicable sourcing and administrative fees are set forth in the parties’ engagement documentation.
UBC does not charge carried interest, profit participation, or discretionary asset-management fees for these services.
